Welcome to the telehealth platform operated by National Provider Services LLC (“MSO”). These Terms of Service (“Terms”) govern your access to and use of our platform, including all websites, mobile applications, and technology services (collectively, the “Platform”). Clinical services are provided by independent professional entities, primarily Contracted Clinicians PC.
1.The Services
- Telehealth Platform:
- The Platform facilitates access to specialized healthcare services, including asynchronous and synchronous telehealth consultations with licensed medical providers.
- No Medical Advice from MSO:
- National Provider Services LLC provides administrative and technological support; it does not practice medicine or provide medical advice.
- Provider Independence:
- All clinical determinations, including diagnoses and prescriptions, are made solely by the licensed clinicians of the PC at their professional discretion.
2.Eligibility and Use
- Requirements:
- You must be at least 18 years of age and physically located in a state where the Platform operates at the time of your consultation.
- Truthful Information:
- You agree to provide accurate, current, and complete information during the intake process and to update such information as necessary.
- Prohibited Acts:
- You may not use the Platform for any unlawful purpose, access it through automated means (e.g., scraping), or attempt to impersonate another person.
3.Payments and Refunds
- Fee-for-Service:
- Telehealth consultations are offered on a per-visit basis, and you agree to pay all fees associated with the services you receive.
- No Refund Policy:
- Fees are charged for the clinical evaluation of your case. All sales are final, and no refunds will be provided for consultations, regardless of whether a prescription is issued.
4.Binding Arbitration (net-ARB.com)
Any controversy or claim arising out of or relating to this service, or the breach of this contract, shall be settled by binding arbitration in accordance with the rules of net-ARB.com.
- Cost Allocation:
- The costs of arbitration shall be initially borne by the customer and later apportioned by the arbitrator.
- Finality:
- The arbitrator's decision will be binding and may not be appealed.
- Judgment:
- A judgment of a court having jurisdiction may be entered upon the arbitrator's award.
- Class Action Waiver:
- You agree that all disputes must be resolved on an individual basis, and you waive the right to participate in any class action or representative proceeding.
5.Liability and Indemnification
- Limitation of Liability:
- To the maximum extent permitted by law, the MSO and PC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
- Indemnification:
- You agree to indemnify and hold harmless National Provider Services LLC, Contracted Clinicians PC, and their affiliates from any claims, damages, or legal fees resulting from your violation of these Terms or misuse of the Platform.
6.Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles.
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
